Terms & Conditions

1. Scope & Services​​

1.1 The services covered include but are not limited to:

  • Enterprise management consulting

  • IT consulting (including cybersecurity compliance per ​​China's MLPS 2.0​​ and ​​ISO 27001​​)

  • Marketing/PR planning (​​Advertising Law of China Art. 4​​ + ​​ICC Marketing Code​​)

  • Financial consulting (​​PBOC Regulations​​ + ​​FATF Recommendations​​)

1.2 All services are defined in ​​Statements of Work (SOWs)​​ incorporated herein by reference.

​​2. Client Obligations​​

2.1 Provide accurate information and necessary cooperation (​​Civil Code Art. 509​​).
2.2 Obtain all required approvals for cross-border data sharing (​​PIPL Art. 38​​ + ​​GDPR Ch. V​​).

​​3. Intellectual Property​​

3.1 Pre-existing IP remains owned by original party (​​Copyright Law Art. 11​​ + ​​Berne Convention Art. 5​​).
3.2 Deliverables are licensed (not sold) to Client, excluding:

  • IT consulting code containing ​​open-source components​​ (GPL-3.0 compliance required)

  • Financial models subject to ​​SEC/FINRA regulations​​

​​4. Data Protection​​

4.1 For China operations:

  • Implement ​​Classified Protection 2.0​​ (​​CSL Art. 21​​)

  • Store PRC citizen data domestically unless approved for export (​​PIPL Art. 40​​)

4.2 International transfers:

  • EU: ​​SCCs​​ or ​​China's Standard Contract​​ (​​PIPL Art. 38​​)

  • US: ​​DPA​​ for CCPA compliance

​​5. Payment Terms​​

5.1 Fees are due within ​​30 days​​ of invoice (​​Contract Law Art. 109​​). Late payments incur:

  • ​​0.05%/day​​ interest (China Supreme Court Guideline)

  • Suspension of services after ​​15 days​​

5.2 All prices exclude:

  • ​​VAT (6% for consulting services)​​ (​​SAT Announcement [2016] No. 23​​)

  • Withholding tax for cross-border payments (​​EIT Law Art. 37​​)

​​6. Liability & Disclaimers​​

6.1 Cap on damages: ​​12x monthly fee or RMB 500,000​​ (whichever is lower) (​​Consumer Rights Law Art. 53​​).
6.2 Excluded liabilities:

  • Client's failure to implement recommendations

  • Force majeure including ​​cybersecurity incidents​​ (​​CSL Art. 34​​)

​​7. Termination​​

7.1 Either party may terminate for:

  • Material breach (​​Contract Law Art. 94​​)

  • ​​Sanctions​​ affecting performance (​​UN Charter Art. 41​​)

7.2 Post-termination:

  • ​​5-year​​ confidentiality survival (​​Anti-Unfair Competition Law Art. 9​​)

  • Return/destruction of data per ​​PIPL Art. 47​​

​​8. Dispute Resolution​​

8.1 First attempt: ​​Mediation via Shanghai Commercial Mediation Center​​.
8.2 Failing mediation:

  • ​​CIETAC Arbitration​​ (Shanghai) for China disputes

  • ​​ICC Arbitration​​ (Singapore) for international matters

8.3 Governing Law:

  • PRC law for domestic contracts (​​Civil Code Art. 12​​)

  • ​​UNIDROIT Principles​​ for cross-border engagements

​​9. General​​

9.1 Entire agreement clause (​​Contract Law Art. 12​​).
9.2 Amendments require ​​wet-ink signatures​​ (​​Electronic Signature Law Art. 13​​).
